IHS Shareholders approve MTN Group’s proposed acquisition of remaining IHS Towers shares

Shareholders of IHS Holding Limited (IHS Towers) have approved MTN Group’s proposed acquisition of the remaining shares in the digital infrastructure company, marking a significant milestone towards completion of the transaction.

The approval was granted during an Extraordinary General Meeting (EGM) held on Tuesday, 4 August 2026, where IHS shareholders voted in favour of the transaction through a special resolution that secured the required two-thirds majority.

The shareholder approval fulfils one of the key conditions precedent for the deal, which remains subject to obtaining the necessary regulatory approvals before completion.

MTN Group President and Chief Executive Officer, Raph Mupita, said the approval represents an important step towards finalising the transaction and strengthening MTN’s strategic position in digital infrastructure.

“Within our Ambition 2030 strategy, digital infrastructure and towers are critical value-creation drivers that will strengthen MTN’s strategic and financial position for the future, at a time when digital infrastructure and artificial intelligence are becoming increasingly important to Africa’s growth and development,” Mupita said.

The proposed acquisition forms part of MTN Group’s broader three-platform strategy, which identifies digital infrastructure as a key foundation for supporting connectivity expansion and Africa’s digital transformation.

If completed, the transaction will bring together Africa’s largest mobile network operator with one of the continent’s leading digital infrastructure platforms, creating a stronger integrated digital infrastructure business.

MTN said regulatory approval processes are ongoing and further updates will be provided as the transaction progresses towards completion.
